Terms of use (Zora)

1. Acceptance of the Terms of Use

1.1 This website, whose domain is https://undistro.io (“SITE”) and the Zora software (“SOFTWARE”) is owned and operated by GETUP PLATAFORMA E COMPUTAÇÃO EM NUVEM S.A., CNPJ 18.366.718/0001 - 61 headquartered at Alameda Campinas, 802, suite 12 in São Paulo, SP, CEP 01404-200 (“GETUP”).

1.2 This document establishes the terms and conditions of use of the Zora – SaaS software, being signed between GETUP and the CONTRACTING PARTY (“user” or “customer”), who entirely agrees and adheres to these terms and conditions of use.

1.3 In addition, this instrument aims to provide information on how to use the software and its tools, conditions, nomenclatures, rights, and obligations of the parties involved. We warn that the entire text must be read carefully.

1.4 All use of the Service is subject to acceptance of these Terms. By accessing or using any content or service provided on the Service, you agree to these Terms. If you are entering into these Terms on behalf of an entity, such as your employer or the company you work for, you represent that you have the legal authority to bind and bind that entity to these Terms. You may not use the Service if you are a person prohibited from using the Service under the laws of Brazil or other countries, including the country in which you reside or from which you use the Service, or international laws or treaties.

2. Your Account and Use of the Service

2.1 The Zora login will occur through your account on other platforms "Third Party Service", and "third-party authentication", as example, but not limited to: Google, Microsoft, or Github. You acknowledge that the use of any Third Party Service may be subject to a separate agreement between you and the Third Party Service provider. Zora does not endorse and is not responsible for the accuracy, functionality, usefulness or intellectual property rights of or relating to such Third Party Services.

2.2 You are responsible for the security of your passwords and any use of your account.

2.3 Your use of the Service must comply with all applicable laws, regulations and ordinances, including any laws relating to the export of data or software.

2.4 You agree not to (a) access (or attempt to access) the administrative interface of the Service by any means other than through the interface provided by Zora in connection with the Service unless you have been specifically authorized to do so in a separate agreement with Zora, or (b) engage in any activity that interferes with or disrupts the Service (or the servers and networks that are connected to the Service)

2.5 You may not access or use the Service for the purpose of bringing an intellectual property infringement claim against Zora or to create a product or service competitive with the Service.

2.6 Your account may have: limitations determined by the type and category of account you have chosen as set out at https://undistro.io. If your actions or other use of the Service exceeds the permissions associated with the chosen service level, we reserve the right to apply, in our sole discretion, the limitations associated with the chosen service level, including the deletion of data that exceeds those limitations. Repeated violations of these limitations may lead to the termination of your account.

2.7 You agree that the Service should not be used as a basis for deploying systems that must be hardened or highly secure, or involve mission-critical business operations, critical communications systems, real-time control systems, or other situations where an inaccuracy or error in a report or in service can lead to death, personal injury, or property or environmental damage.

3. Privacy Police and Use Restrictions

3.1 The Service's Privacy Policy describes the collection, use, storage and disclosure of your personal information, including collection by any third-party software used by Undistro or Getup, and is incorporated by this reference into these Terms. You agree to the use of your data following the Privacy Policy on the website.

3.2 You agree that you will protect the privacy and legal rights of end users of your repositories or other content stored or managed through the Service. You must provide legally adequate privacy notice and protection to these end users.

3.3 You agree that you are responsible for your conduct in accessing or using the Service and for any consequences thereof. You agree to use the Service only for purposes that are lawful, proper and in accordance with these Terms and any applicable laws or regulations. By way of example, and not as a limitation, you may not and may not allow third parties to:

  • a.Submit, upload, distribute or disclose or offer to do the same concerning any unlawful, defamatory, offensive, abusive, fraudulent, obscene, or otherwise objectionable content;
  • b. Distribute viruses, worms, bugs, Trojan horses, corrupted files, hoaxes, or any other items of a destructive or deceptive nature;
  • c. Impersonate another person (through the use of an email address or otherwise) or otherwise misrepresent yourself or the source of any Content;
  • d. Upload, transmit, or make available through the Service any content that infringes any patent, trademark, copyright, trade secret, or other proprietary rights of any party unless you are the owner of such rights or have permission from the owner to post such content;
  • It is. Use the Service to violate the legal rights (such as rights of privacy and publicity) of others;
  • f. Promote or encourage illegal activities;
  • g. Interfere with the use of the Service by other users;
  • H. Exploit the Service for any unauthorized commercial purpose;
  • i. Modify, adapt, translate or reverse engineer any part of the Service;
  • j. Remove any copyright, trademark or other proprietary rights notices contained on the Service or any content posted on it;
  • k. Reformat or frame any portion of the web pages that form part of the Service's administration view;
  • l. Use any robot, spider, website search/retrieval application or other devices to retrieve or index any part of the Service or the content published on it or to collect information about its users for any unauthorized purpose;
  • m. Use the Service, or any interfaces provided with the Service, to access any Zora product or service in a manner that violates the Terms or other terms and conditions of use for any Zora product or service.

4. Property Rights

4.1 You acknowledge and agree that Zora (or Zora's licensors) own all legal rights, titles, and interest in the name, visual interfaces, graphics, design, systems, methods, look and feel, organization, compilation of the content, data, images and all other elements of the Service. Such elements are protected by copyright laws, branding, patents, and trademarks registered with INPI from Brazil and all other intellectual property and property rights relevant and applicable laws.

4.2 Zora Software is offered under the terms of an Open Source License. There are provisions in the open source license that supersede parts of these terms. You can obtain a copy of the License at http://www.apache.org/licenses/LICENSE-2.0

4.3 Users' comments and suggestions are extremely important and relevant and may generate innovations or implementations that can be incorporated without granting them any kind of rights over the new functionalities. All data, rights, and interests relating to content licensed, used or made available through Zora will remain the exclusive property of its licensors.

5. Indemnification

5.1 You agree to hold harmless and indemnify Getup and its subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers or partners from and against any third-party claim arising out of or in any way related to (a) your breach of the Terms, (b) your violation of applicable laws, rules or regulations in connection with the Service, or (c) your User Content, including any liability or expense arising from all claims, losses, damages (actual and consequential), actions lawsuits, judgments, court costs, and attorney fees of all kinds and nature. In such event, Zora will provide you with written notice of such claim, proceeding or action; provide you with the opportunity to control the defense and/or settlement of such claim, suit or action; and will provide you with reasonable assistance in such defense or settlement upon reasonable request.

6. License

6.1 The Company grants its Users a non-limited, individual, non-exclusive, non-transferable and fully revocable license to use the Zora Software, provided that they comply with the terms contained in this document.

7. Confidentiality

7.1 The parties undertake to maintain confidentiality and secrecy regarding any data, information, material, document, policy, program, technical or commercial specifications, strategies, innovations or improvements to which they may have knowledge and access as a result of the use of the Zora software.

7.2 All data, information, materials, documents, policies, programs, technical or commercial specifications, strategies, innovations or improvements are confidential and may only be disclosed to third parties with written authorization from the Company under penalty of indemnity action, being better detailed in Privacy Policy. The confidentiality established here extends over time and will not remain removed even in the event of termination of this agreement, being of a lifetime nature.

7.3 The obligation of confidentiality extends to all Users and representatives of the parties who have access or in any way become aware of the data and information of any nature.

8. Data Protection Law

8.1 The data of the User will be used exclusively for the legal acts related to the object of these Terms of Use and for the use of Zora.

8.2 The data and information registered and/or collected through Zora will be stored, treated and used as provided in the Privacy Policy, which is the document capable of disciplining such applications in compliance with Brazil's General Data Protection Law 13.709/18 (LGPD).

9. Modifications to the Terms of Use

9.1 The Terms and Conditions of this document at any time, at its sole discretion, changes being considered effective after the publication of an updated version of these Terms in the Zora Software which will be subject to acceptance by the User and its Users. Zora will inform you of significant changes to the Software via email notices.

10. Technical Support

10.1 Any queries, crashes or fixbug can be reported via the project page at github.com/undistro/zora

11. Modification and Termination

11.1 Zora is constantly innovating to provide the best possible User experience. You acknowledge and agree that the form and nature of the Service may change from time to time without notice. New features may also be added and removed and there may be changes to any part of the Service at any time without notice.

11.2 You may terminate these Terms at any time by simply uninstalling the Software and discontinuing your use of the Service. You will not receive any refunds for your use of the service or termination of these Terms. You agree that any termination of access to the Service may occur without notice and you agree that Zora will not be liable to you or any third party for such termination.

12. Miscellaneous Provisions

12.1 Any communication relating to the purpose of this document must be sent to the email address [email protected]

12.2 The rights arising from this Term may not be assigned or transferred by the User or User Company, in whole or in part, without the prior written consent of Getup S.A.

12.3 If any provision of this document conflicts with the law governing it, or if any provision is found void, invalid or unenforceable by a Court, such provision shall be updated to reflect as closely as possible the original intentions of the Parties, in under applicable law, all other terms and conditions remaining in full force and effect.

12.4 The User acknowledges that it has read and understands this Agreement and agrees to be bound by its terms and conditions.

12.5 If Zora provides a Portuguese version of these Terms, the Portuguese version will prevail if there is any conflict.

12.6 You agree that Zora may provide you with notices, including those relating to changes to the Terms, by email or postings on the Service page. By providing Zora with your email address, you agree to use the email address to send you any notices required by law in lieu of communication by postal mail. You can provide us with legal notices at our email address [email protected]

12.7 Zora shall not be liable for failure or delay in performing its obligations resulting from any condition beyond its reasonable control, including, but not limited to, government action, acts of terrorism, earthquake, fire, flood, or other acts of God, working conditions, power failures, and Internet disturbances.

12.8 Neither party may assign any of its rights or obligations under these Terms, whether by operation of law or otherwise, without the prior written consent of the other party. Notwithstanding the foregoing, Zora may assign all of its rights and obligations under these Terms, without your consent, to an affiliate or in connection with a merger, acquisition, corporate reorganization or sale of all or substantially all of its assets. Any attempted assignment that violates these Terms will be void.

12.9 The parties agree that the district court of São Paulo has exclusive jurisdiction to resolve any disputes or claims resulting from the interpretation of these Terms or their purpose or formation.

You acknowledge that you have read, understood, and agree to be bound by the Agreement.
